1. NO PURCHASE NECESSARY TO ENTER OR TO WIN. ALL FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.

2. Eligibility. Subject to the additional restrictions below, the Car with-the Cash Contest (the "Contest") is open to South Carolina residents who are 18 years or older and hold a valid driver's license at the time of entry. Employees of Cox Radio, Inc. ("Sponsor"), any Contest co-sponsor and any radio or television station, and employees of each of their respective affiliated companies, subsidiaries, and advertising or promotional agencies, and the immediate family members of, and any persons domiciled with such employees, are not eligible to enter or win. Persons who have won a prize valued at over $1,000 from Cox Radio, Inc. at any time since October 14, 2003 are also ineligible to enter or win. For purposes of this Contest, "immediate family members" include an employee's spouse, parents, grandparents, siblings, children, and grandchildren. Maximum of one (1) Key Prize will be awarded per person, family and household. As further explained in Section 4 below, the Grand Prize Winner must meet all credit and leasing qualifications required by the manufacturer and dealer providing the lease on the Spyder.

3. How to Enter and Participate. Contestants will compete for a chance to win one of ninety-eight Key prizes consisting of ninety-eight dollars and ten cents in cash an audio CD Key that will be used to participate in a random drawing for a chance to win a Grand Prize consisting of a two-year lease on a 2005 Mitsubishi Eclipse Spyder GS automobile five thousand dollars in cash. The Contest will begin on October 14, 2004 and end on November 20, 2004 (the "Contest Period"). To be included in the drawing for the Grand Prize, you must first be selected as a Key Prize Winner. There are two ways to participate for a chance to be selected as a Key Prize Winner. 1. Listen and Win: Each weekday during the Contest Period, tune in to WHZT-FM, the New Hot 98-1. Listen for the Car With The Cash Song of the Day (the "Contest Song") and call 1-866-NEWHOT-98-1 (1-866-639-4689) as soon as you hear it. Subject to confirmation of your eligibility and compliance with these Official Rules, if you are determined by Sponsor to be the 98th caller after the Contest Song begins, you will be declared a Key Prize Winner and will receive a check for ninety eight dollars and ten cents, and the right to select an audio CD key at the Grand Prize Event which will entitle you to participate in a random drawing for the Grand Prize. The times Contest Songs will be played will be announced on-air each weekday during the Contest Period on or about 7:45 a.m. and periodically thereafter throughout the day. The Contest Song will be played at least once each weekday during the Contest period. At least seventy-eight (78) but no more than ninety-eight (98) "listen-and-win" Key Prize opportunities will be announced during the Contest Period. 2. Register at a Station-Sponsored Event: Up to twenty (20) Key Prize Winners may be selected in random drawings from among the eligible contestants who register for a chance to win a Key Prize at a qualifying station-sponsored event during the Contest Period. Listen to WHZT-FM for the dates, times, and locations of qualifying events where you can register for a chance to win. Subject to confirmation of eligibility and compliance with these Official Rules, each Daily Key Prize Winner who is selected from among the contestants who register at a particular qualifying station-sponsored event will receive ninety eight dollars and ten cents in cash plus the right to select an audio CD key at the Grand Prize Event to participate in the random drawing for the Grand Prize. Maximum one (1) entry per person, per event. All entries become property of Sponsor and none will be returned. There will be a maximum of ninety-eight (98) Key Prize Winners selected in the Contest from among the combined pool of participants who use the "Listen-to-Win" and "Register-to-Win" procedures described above.

Sponsor will not be responsible for loss of service to any Contest telephone line or for a contestant's failure to reach any Contest line due to malfunction of any network or system, congestion, overload, busy signals, or any other factor that may prevent an individual from completing his/her phone call.

4. Prizes and Odds. Daily Key Prizes. Subject to verification of eligibility and compliance with these Official Rules, each Key Prize Winner will receive a check for ninety eight dollars and ten cents and one (1) audio CD key to be used in the Grand Prize drawing as explained below. Odds of winning a Key Prize depend on the total number of eligible contestants who call to participate who register for a chance to win at qualifying station sponsored-events. Key Prize Winners must claim their prizes by visiting Sponsor's studio and business offices at 220 North Main Street, Suite 402, Greenville, SC 29601 in person and presenting an official photo ID no later than 5:00 p.m. on November 19, 2004. Failure to claim a Key Prize by 5:00 p.m. on November 19, 2004 will result in disqualification of winner, forfeiture of his or her interest in all prizes and the award of the applicable Key Prize to a substitute winner. Grand Prize. Subject to verification of eligibility and compliance with these Official Rules, one (1) Grand Prize Winner will be randomly selected from among all participating Key Prize Winners to receive a two-year lease on a 2005 Mitsubishi Eclipse Spyder GS automobile and a check for five thousand dollars. Prize lease includes a 24,000 mileage allowance. The Grand Prize Winner will be responsible for excess mileage charges of 15 cents per mile. (Approximate retail value of cash and lease Grand Prize package is $20,000). The Mitsubishi Eclipse Spyder GS automobile covered by the prize lease will be driven for promotional purposes during the Contest and will be delivered to Grand Prize Winner with related mileage and wear. The Grand Prize Winner must meet standard credit and lease eligibility requirements imposed by the vehicle manufacturer and dealer providing the lease on the Spyder. If the Grand Prize Winner does not qualify for the lease under these requirements, he or she will receive a substitute cash prize of five thousand dollars in lieu of the Spyder lease component of the Grand Prize package. In these circumstances, the Spyder lease would not be awarded and the Grand Prize Winner would win a cash prize of ten thousand dollars in full satisfaction of Sponsor's obligation to award the Grand Prize. Grand Prize Drawing Event. The Grand Prize will be awarded as follows: Each participating Key Prize Winner will randomly draw an audio CD key from a bin. Until the Grand Prize Winner is determined, each Key Prize Winner will be given a chance to insert his or her CD in the Mitsubishi Eclipse Spyder GS CD Player. One and only one CD will play a recording announcing that the individual who inserted the CD is the Grand Prize Winner. Once a Grand Prize Winner is announced by this CD recording, the drawing will end and no further attempts to play CD keys will be allowed. To be included in the Grand Prize drawing, each Key Prize Winner must attend in person a grand prize drawing event to be conducted on Saturday, November 20, 2004 at a time and location to be announced by Sponsor. Failure to personally attend and participate in the announced Grand Prize Drawing event will result in a Key Winner's disqualification and the forfeiture of all interest in the Grand Prize. Sponsor may hold a last chance drawing for all keys unclaimed by Key Winner's prior to November 19, 2004. The odds of a particular Key Prize Winner being selected as the Grand Prize Winner depend on the number of eligible Key Prize Winners who attend and participate in the Grand Prize drawing in accordance with these Official Rules.

5. Prize Conditions: No prizes will be mailed. Prizes are non-assignable and nontransferable. Non-cash prizes may not be redeemed for cash. No substitutions of prizes by Winners allowed. All prizes and individual components of prize packages are subject to availability and Sponsor reserves the right to substitute prizes of equal or greater retail value. Winners are solely responsible for payment of any taxes on prizes and Grand Prize Winner is responsible for payment of taxes, title and license fees on the leased Mitsubishi Eclipse Spyder GS. Grand Prize Winner must also obtain comprehensive vehicle liability insurance coverage for the leased Mitsubishi Eclipse Spyder GS vehicle that is satisfactory to Sponsor and must maintain such insurance for the duration of the two-year lease term. Grand Prize Winner will be required to complete an affidavit of eligibility, and a liability and publicity release (except where prohibited by law) as a condition of receiving the Grand Prize. Failure to sign and return the affidavit or release, or to comply with any term or condition of these Official Rules, will result in winner's disqualification, the forfeiture of his or her interest in the prize. Winners may waive their right to receive a prize. Prizes that are waived, forfeited or not claimed by Winners for any reason will not be awarded in the Contest and will remain the property of the Sponsor. If any winner is disqualified by Sponsor, Sponsor reserves the right in its sole discretion to either select a substitute winner at random or to retain the applicable prize as Sponsor's property. Grand Prize Winner's credit rating must satisfy the terms specified by Mitsubishi's Credit Corporations Triple Diamond one pay Lease program. . If Grand Prize Winner does not qualify for the lease, the Spyder shall be returned to dealer and a cash prize of five thousand dollars will be substituted for the lease component of the prize as described above will be.

6. Publicity Rights. Except where prohibited, participation in this Contest constitutes each contestant's consent to the publication of his or her name, voice, biographical information and likeness in any media for any commercial or promotional purpose, without limitation or further compensation.

7. Decisions of Sponsor. By participating, contestants agree to be bound by these Official Rules and the decisions of Sponsor and the Contest judges appointed by Sponsor, which shall be final in all respects. Sponsor reserves the right to disqualify persons found tampering with or otherwise abusing any aspect of this Contest as solely determined by Sponsor. In the event the Contest is compromised by tampering or other causes beyond the reasonable control of Sponsor which corrupt or impair the administration, security, fairness or proper operation of the Contest, Sponsor reserves the right in its sole discretion to suspend, modify or terminate the Contest. Sponsor reserves the right to amend these Official Rules at any time.

8. Waiver and Release. By participating in the Contest, each participant and winner waives any and all claims of liability against Sponsor and its affiliated companies and all of their respective officers, employees and agents, for any injury, loss, or damage which may arise out of the conduct of, or participation in, the Contest, or from the acceptance, use or misuse of any prize.

9. Taxes. Any valuation of the prizes stated above is based on available information provided to Sponsor and the value of any prize awarded to a Winner may be reported for tax purposes as required by law. Each winner must provide Sponsor with a copy of his or her valid official photo identification and a valid taxpayer identification number or social security number before any prize will be awarded. Any person winning over $600 in prizes from station will receive an IRS form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS.

10. Sponsor. The decisions of Sponsor regarding the selection of winners, the interpretation of these Official Rules and all other aspects of the Contest shall be final and binding in all respects. Sponsor will not be responsible for typographical, printing or other inadvertent errors in these Official Rules or in other materials or announcements relating to the Contest.
